BitFrontier Capital Holdings, Inc. (OTCID: BFCH), doing business as UNLOCKD Inc., announced today the successful closing of its acquisition of VerdaGenix, LLC, owner and operator of the Ancient Extracts USA wellness platform. The acquisition, first disclosed earlier this year, makes Ancient Extracts a wholly owned subsidiary of BFCH, adding an established direct-to-consumer (DTC) infrastructure, commercial operations, proprietary formulations, intellectual property, and a catalog of more than 20 wellness SKUs already in market.
Management described the closing as a defining milestone in the company's evolution into a scalable operating platform focused on wellness, performance, functional products, and human optimization. The transaction follows a year of strategic developments, including the elimination of over $2 million in legacy convertible debt, strengthening of the balance sheet, restoration of disclosure compliance, and the acquisition of the EVERMIND intellectual property platform.
With the acquisition complete, BFCH is transitioning Ancient Extracts into a broader commercialization phase, aiming to scale both DTC operations and retail distribution. The company is advancing strategic growth capital initiatives to support inventory expansion, customer acquisition, and retail channel development. Management believes the acquisition significantly de-risks the broader operating strategy by establishing an active commercial foundation upon which future growth can be accelerated.
CEO John P. Gorst stated, “We are not attempting to create a concept from scratch. Ancient Extracts already has operating infrastructure, commercialized products, existing customers, active distribution channels, and a brand foundation capable of meaningful expansion.” Gorst emphasized that the products align with long-term trends in wellness, performance, and human optimization, and that the company’s focus is now on execution and building a larger operating platform.

The company also confirmed that it continues to evaluate additional acquisition opportunities, strategic partnerships, and operating assets aligned with its long-term strategy. Separately, BFCH received a formal legal opinion from securities counsel concluding that it is not a shell company under Rule 405 of the Securities Act of 1933, based on its operating strategy, asset base, acquisitions, and ongoing activities.
