Greenland Mines Announces Public Offering to Fund Sarfartoq Rare Earth Acquisition

Greenland Mines Ltd (NASDAQ: GRML), a Western-aligned critical minerals developer, has announced its intention to conduct a public offering of shares of common stock or common stock equivalents. The company plans to use the net proceeds, along with existing cash and cash equivalents, to fund the acquisition of the Sarfartoq Nd-Pr Rare Earth Element Project, as well as for working capital and other general corporate purposes. The offering is subject to market and other conditions, and there is no assurance regarding its completion, size, or terms. A.G.P./Alliance Global Partners is acting as sole placement agent.

The Sarfartoq project, located in southwest Greenland, is a key component of Greenland Mines' strategy to build a multi-asset platform with exposure to rare earth magnet materials, precious metals, and selected midstream processing opportunities. The company also operates the Skaergaard Project in southeast Greenland, which is focused on exploration and development. In addition to its mining division, Greenland Mines has a biotech division, including Klotho’s KLTO‑202 primary indication for ALS.

This announcement comes at a time when global demand for rare earth elements, particularly neodymium and praseodymium, is surging due to their critical role in permanent magnets used in electric vehicles, wind turbines, and other clean energy technologies. The acquisition of Sarfartoq is part of Greenland Mines' broader North Atlantic Critical Metals Corridor vision, which aims to link Greenland's mineral resources with allied downstream jurisdictions and industrial infrastructure. This aligns with Western efforts to reduce dependence on China for rare earth supplies.

The proposed offering underscores the company's commitment to advancing its portfolio and capitalizing on the growing need for a secure and diversified supply chain for critical minerals. If successful, the acquisition could position Greenland Mines as a significant player in the rare earth market, providing a Western source of these essential materials. The outcome of the offering and subsequent acquisition will be closely watched by industry analysts and investors, as it could have implications for the global supply chain and the transition to clean energy.
