JOST to Divest Hyva's Tipper Body Business in India to Belrise Industries

JOST Werke SE, a leading global supplier of safety- and mission-critical systems for the commercial vehicle industry, has signed a business transfer agreement to sell its Indian tipper body operations to Belrise Industries Limited. The divestment, which is part of JOST's ongoing portfolio refinement following its acquisition of Hyva in February 2025, is expected to close in the fourth quarter of 2026, subject to customary regulatory approvals.

The Indian tipper body business, which generates annual revenue of EUR 30 to EUR 40 million and an EBITDA of approximately EUR 1 million, will be sold for a purchase price of about EUR 5 million. JOST has confirmed that the transaction will not have a material impact on its revenue and earnings outlook for fiscal year 2026, and the company reaffirms its guidance.

Joachim Dürr, CEO of JOST Werke SE, stated: "This divestment is a further step in aligning our portfolio with our long-term strategy for profitable growth. It allows us to focus even more strongly on the core hydraulic and tipping solutions offered under the Hyva brand and to direct our R&D capabilities toward mission-critical systems."

Mr. Shrikant Badve, Managing Director of Belrise Industries Limited, commented: "We are pleased to welcome Hyva's India Tipper Body Business into the Belrise family. The business has established a strong reputation in the Indian commercial vehicle market and represents a compelling strategic fit for Belrise, complementing our manufacturing and engineering capabilities. We are committed to investing in its future growth while ensuring seamless continuity for customers, employees, suppliers, and business partners throughout the transition, in collaboration with JOST."

This strategic move underscores JOST's commitment to concentrating on its core hydraulic components, tipping cylinders, and digital tipping systems, which are integral to its Hyva brand. By divesting the tipper body operations, JOST aims to lower its vertical integration and enhance operational flexibility in India, allowing the company to allocate resources more effectively toward innovation and mission-critical systems.

For industry observers, this transaction highlights the ongoing consolidation and strategic realignment within the commercial vehicle sector, as companies seek to sharpen their focus on high-margin, technology-driven product lines. JOST's decision to streamline its portfolio is expected to strengthen its competitive position in the global market, particularly in the hydraulic and tipping solutions segment.

The sale to Belrise, a prominent player in the Indian automotive components industry, is likely to bolster Belrise's manufacturing and engineering capabilities, enabling it to expand its footprint in the commercial vehicle market. The transition is anticipated to be seamless, with both companies committed to maintaining continuity for stakeholders.

As the transaction awaits regulatory clearance, JOST's outlook for 2026 remains unchanged, reflecting the company's confidence in its strategic direction. The divestment is a clear signal of JOST's intent to prioritize core business areas and drive long-term profitability through focused innovation and operational efficiency.
