G Mining Ventures Corp. (TSX: GMIN) (OTCQX: GMINF) announced the completion of its acquisition of G2 Goldfields (TSX: GTWO) (OTCQX: GUYGF) through a court-approved plan of arrangement, a move that creates what the company describes as a large-scale, fully permitted and fully financed tier-one gold mining complex in Guyana. The transaction, which received shareholder and court approvals, is expected to unlock significant value by combining the adjacent Oko West and Oko-Ghanie deposits.
Under the terms of the arrangement, each G2 Goldfields share was exchanged for 0.212 common shares of GMIN and 0.50 common shares of G3 Goldfields, a newly spun-out entity. The structure allows GMIN to consolidate the contiguous properties while spinning off non-core assets into a separate company. GMIN highlighted that the combination of the Oko West and Oko-Ghanie deposits is expected to generate operational and capital synergies through shared infrastructure, optimized mine planning, greater processing capacity, and enhanced operational flexibility.
The company noted that previously disclosed mineral resource estimates for the Oko-Ghanie Project should be considered historical estimates under National Instrument 43-101 and not current mineral resources from GMIN's perspective. GMIN plans to undertake additional geological modeling, data integration, and drilling before issuing updated combined mineral resource estimates and a supporting technical report. Further technical studies are expected to culminate in a comprehensive report in 2027.
This acquisition positions GMIN to grow into a mid-tier precious metals producer by leveraging strong access to capital and proven development expertise. The company is anchored in mining-friendly jurisdictions, including Brazil, with the Tocantinzinho Gold Mine and the Gurupi Project, as well as Guyana, with the Oko West Project. The combined Guyana assets are expected to benefit from economies of scale and streamlined operations, potentially reducing costs and improving project economics.
For investors, the deal represents a strategic consolidation in the gold mining sector, creating a larger, more diversified asset base.
