Instinct Bio Technical Company Holdings Inc. (Nasdaq: BIOT) announced today that its subsidiaries have entered into a Memorandum of Agreement with Invitrx Therapeutics, Inc. to advance two strategic workstreams: the manufacture and sale of GENREVER cosmetic products in the United States and the potential supply of concentrated exosomes and conditioned media for clinics and an in-hospital cell processing center and laboratory in Indonesia.
The collaboration builds on a six-year commercial relationship under which Instinct Bio has sourced principal raw materials from INVITRX for use in its products. This existing relationship is expected to facilitate coordination as the parties evaluate the proposed collaboration.
Under the proposed U.S. workstream, Instinct Bio intends to license the GENREVER trademark, while its subsidiary Artisans Production will contribute proprietary formulations and raw materials. INVITRX is expected to manufacture GENREVER products at its U.S. GMP manufacturing facility, positioning GENREVER as a premium Japanese cosmetics brand in the U.S. market, subject to regulatory requirements.
For the Indonesia initiative, INVITRX is expected to supply concentrated exosomes and conditioned media to support proposed clinics and an in-hospital cell processing center. The parties will evaluate opportunities to establish a localized regenerative medicine platform in one of Asia's rapidly growing healthcare markets.
Tomoki Nagano, CEO of Instinct Bio, stated: “This collaboration represents an important step in our strategy to expand Instinct Bio’s international platform. By bringing together the GENREVER brand, Artisans Production’s proprietary formulations and INVITRX’s U.S. GMP manufacturing capabilities, we believe we are creating a strong foundation for future growth in both the United States and Southeast Asia.”
The parties intend to negotiate definitive commercial agreements covering manufacturing, supply, commercialization and other operating arrangements while progressing regulatory assessments. However, there can be no assurance that definitive agreements will be entered into or that the proposed initiatives will be completed.
For business leaders, this collaboration highlights the growing convergence of Japanese product innovation with U.S. manufacturing capabilities, potentially opening a premium cosmetics market segment. The Indonesia initiative underscores the expanding regenerative medicine ecosystem in Southeast Asia, which could create new opportunities for clinics and hospitals. Instinct Bio’s strategy of leveraging existing supplier relationships to enter new markets may serve as a model for biotech firms seeking international growth without extensive capital outlay.
The announcement also reflects the increasing importance of GMP-certified manufacturing in the cosmetics and regenerative medicine industries, as regulatory compliance becomes a key differentiator. If successful, the partnership could accelerate Instinct Bio’s revenue diversification and strengthen its position in longevity and advanced therapeutics.
