Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing™ silicon solutions, has closed a private placement that includes a direct strategic investment from Silicon Catalyst Angels I, LLC (SCA), a semiconductor-focused angel group. The investment marks the second strategically aligned semiconductor investor to back the company, following the first close of the offering. Edgewater’s Chairman, Brian Imrie, also increased his stake, reinforcing insider alignment as the company advances its Spectrum Slicing™ and PrismIQ™ platforms toward prototype validation and commercial engagements.

SCA’s participation brings more than capital. Established in 2019 to provide seed and Series A funding to Silicon Catalyst Portfolio Companies, SCA comprises experienced semiconductor executives, technologists, company builders, and investors. Their industry relationships and operational expertise are expected to aid Edgewater in silicon execution, strategic partnerships, and future capital formation. This investment extends a relationship that began in November 2024 when Edgewater was selected as a Silicon Catalyst Portfolio Company. Since then, Edgewater has gained access to over 500 industry experts and several million dollars’ worth of in-kind design, fabrication, and commercialization resources. Additionally, Silicon Catalyst’s Chief Operating Officer, Nick Kepler, serves as a Board Observer.

The financing will support Edgewater’s ongoing engineering development of its PrismIQ™ platform and next-generation Spectrum Slicing™ roadmap. The company plans to conduct customer demonstrations and commercial engagements, with an initial product release targeted for the first half of 2027. As Wi-Fi evolves toward Wi-Fi 7 and beyond, devices will have access to very wide channels, often operating in congested or partially occupied spectrum. Edgewater’s AI-powered Spectrum Slicing™ technology aims to mitigate congestion, manage spectrum allocation in real-time, and autonomously reconfigure channel and link density, improving Quality of Service (QoS) and driving economic gains for service providers by reducing churn and enhancing connectivity in dense environments.

The private placement details reveal that the second tranche consisted of 4,799,666 units at $0.06 per unit, raising gross proceeds of $287,979.96, with Imrie’s participation accounting for $96,000. Combined with the first tranche, the offering has generated aggregate gross proceeds of $717,332.70 from 11,955,545 units. Each unit includes one common share and one warrant exercisable at $0.09 for two years. The securities are subject to a statutory hold period until January 9, 2027, and the closing remains subject to final TSX Venture Exchange acceptance. Proceeds will be used for semiconductor design, engineering, product development, and working capital.

This investment comes at a critical time for Edgewater, which holds 26 granted patents and three pending AI-related patents. The company’s fabless model aims to transform Wi-Fi economics for service providers, OEMs, and enterprises. With SCA’s strategic backing, Edgewater is poised to accelerate its path from validation to execution, potentially reshaping how Wi-Fi networks are optimized in increasingly crowded spectrum environments.
